Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and FREE-EXPERT LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"), governing your use of our website and services. By submitting a project request, accepting a quotation, or making a payment, you agree to be bound by these Terms.

2. Scope of Services

FREE-EXPERT LLC provides digital agency services including, but not limited to:

• ·Custom website design and development
• ·iOS and Android mobile application development
• ·Social media content design and management
• ·Brand identity design and rebranding

All services are provided on a custom quotation basis. The specific scope, deliverables, timeline, and pricing for each project are defined in the written quotation accepted by the Client.

3. Quotation and Project Initiation

Services commence only after the Client submits a project request, receives and approves a written quotation from FREE-EXPERT LLC, and pays the required deposit. Quotations are valid for 14 days from the date of issuance. FREE-EXPERT LLC reserves the right to revise a quotation if project requirements change materially after the initial quote.

4. Payment Terms

All payments are processed securely via Stripe invoicing. Our standard payment structure is:

All prices are in US Dollars (USD). Invoices are due upon receipt. Late payments may result in project suspension. FREE-EXPERT LLC reserves the right to withhold final deliverables until full payment is received.

5. Delivery Timelines

Estimated delivery timelines are provided in the project quotation. Timelines commence upon receipt of the deposit payment and all required project materials from the Client. FREE-EXPERT LLC will make reasonable efforts to meet agreed timelines. Delays caused by the Client's failure to provide required materials, feedback, or approvals in a timely manner may extend the delivery timeline without liability to FREE-EXPERT LLC.

6. Client Responsibilities

The Client agrees to:

• ·Provide accurate and complete project requirements
• ·Supply all necessary materials (content, images, branding assets) in a timely manner
• ·Provide feedback and approvals within agreed timeframes
• ·Ensure all materials provided do not infringe on third-party intellectual property rights

7. Intellectual Property

Upon receipt of full payment, FREE-EXPERT LLC transfers all intellectual property rights for custom deliverables to the Client. FREE-EXPERT LLC retains the right to display completed work in its portfolio unless the Client requests confidentiality in writing. FREE-EXPERT LLC retains ownership of all proprietary tools, frameworks, and methodologies used in the delivery of services.

8. Revisions and Change Requests

Each project quotation includes a specified number of revision rounds. Additional revisions beyond the agreed scope will be quoted and billed separately. Significant changes to project scope after work has commenced may require a revised quotation and additional deposit.

9. Refund Policy

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. In summary, refund requests must be submitted within 14 days of the initial deposit payment and are only applicable before a project milestone has been completed.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FREE-EXPERT LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to these Terms or the services provided. FREE-EXPERT LLC's total liability to the Client shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the service agreement.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.

13. Modifications to Terms

FREE-EXPERT LLC reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance of the updated Terms.
